1. Introduction
These Terms & Conditions (T&Cs) outline the general terms for clients engaging services provided by Wileo Pty Ltd ("Wileo", "we", "us"). Specific details for each engagement will be governed by a separate client-specific service agreement ("Service Contract"). In case of conflict, the Service Contract will prevail.

2. Engagement and Scope
The detailed description of services, deliverables, timelines, and responsibilities of both parties are explicitly defined in your individual Service Contract.
3. Payment Terms
All pricing, invoicing, payment schedules, and refund policies are detailed in your individual Service Contract.
4. Acceptance of Terms
Clients accept these T&Cs by signing a Service Contract. Consultants accept by onboarding onto our platform.
5. Australian Consumer Law (ACL)
Our services are subject to guarantees provided under Australian Consumer Law. If a service fails to meet ACL guarantees, our liability is limited, at our discretion, to resupplying the services or covering the reasonable cost of resupply.
6. Intellectual Property
Intellectual Property (IP) rights and ownership details are defined in your Service Contract. If not specified, Wileo retains IP rights and grants you a perpetual, royalty-free license to use the deliverables internally upon full payment.
7. Confidentiality
Both parties agree to maintain confidentiality regarding sensitive or proprietary information shared during engagements. Specific confidentiality terms are detailed in your Service Contract.
8. Privacy & Data Protection
Please refer to our Privacy Policy for detailed information on how we collect, use, store, and protect your personal data.
9. Non-circumvention
Clients and consultants introduced via Wileo agree not to directly engage with each other outside Wileo without our written approval, as detailed in your Service Contract.
10. Publicity
Wileo may use client names and logos for marketing unless explicitly requested otherwise in writing by the client.
11. Dispute Resolution
Any disputes must first undergo mediation in Western Australia. If unresolved, disputes are subject to the jurisdiction of WA courts.
12. Governing Law
These Terms are governed by the laws of Western Australia.
13. Primacy of Specific Client Contracts
These general terms provide a framework only. Specific terms within your Service Contract will take precedence in case of inconsistencies or contradictions.
